Terms of Service

By creating an account or using SplitVault you agree to these Terms. If you do not agree, do not use the service. These Terms are a practical template under Dutch law and should be reviewed by counsel for your situation.

1. Who provides the service

SplitVault is operated by Tona Digital (“we”, “us”), The Netherlands. Contact: info@tonadigital.com or the contact form.

2. The service

SplitVault helps independent producers and songwriters create split sheets, invite collaborators, collect typed electronic signatures, export PDFs, keep a hash-chained audit trail, and maintain a personal PRO/CMO registration checklist.

SplitVault is not: a law firm; legal advice; a performing rights organisation (PRO/CMO); a music distributor; a bank or royalty payment processor; or a guarantee that a document will be enforceable in every court or jurisdiction.

3. Accounts

  • You must provide accurate registration information and keep credentials confidential.
  • You must be able to enter into binding contracts under applicable law (generally 18+).
  • You are responsible for activity under your account.
  • We may suspend or terminate accounts that abuse the service, break the law, or harm other users.

4. Your content and collaborator data

You retain rights in content you upload (titles, splits, names, etc.). You grant us a limited licence to host, process, and display that content solely to operate SplitVault.

When you invite others, you must have a lawful basis to share their e-mail and related data (e.g. they are collaborators you work with). You must not use SplitVault to spam or harass.

5. Signatures and evidence

Typed signatures and related metadata (including IP address, user-agent, and timestamps) are stored to support an audit trail. The hash chain is designed to detect tampering of log entries. You remain responsible for ensuring all required parties actually review and sign, and for any legal formalities required in your territory (e.g. wet-ink requirements, company authority to sign).

6. PRO registration checklist

The registration tracker is a productivity checklist only. “Public search” links open third-party society websites. We do not automatically file works with PROs/CMOs and do not warrant the accuracy of external repertoire tools.

7. Acceptable use

You agree not to:

  • Break applicable law or infringe others’ rights
  • Attempt to bypass security, scrape the service abusively, or overload infrastructure
  • Upload malware or attempt unauthorised access
  • Impersonate others or falsify signature evidence
  • Use the service to send unsolicited bulk commercial messages unrelated to legitimate collab invites

8. Free and paid plans

Features may be offered free or under paid tiers (see Pricing). Paid billing, if enabled, will be described at purchase. We may change free-tier limits with reasonable notice.

9. Availability and changes

We aim for reliable availability but do not guarantee uninterrupted service. We may modify or discontinue features, especially in free tiers, with notice where reasonable.

10. Intellectual property

The SplitVault software, branding, and documentation are owned by Tona Digital or its licensors. You may not copy, reverse engineer (except where mandatory law allows), or resell the platform itself.

11. Liability

To the extent permitted by Dutch and EU mandatory law:

  • The service is provided “as is” and “as available”.
  • We are not liable for indirect, consequential, or lost-profit damages arising from use of the service.
  • Our aggregate liability for claims relating to the service in any 12-month period is limited to the greater of (a) fees you paid us for SplitVault in that period, or (b) €100, except where liability cannot be limited (e.g. intent or wilful recklessness under Dutch law, or mandatory consumer rights).
  • Nothing in these Terms excludes liability where exclusion is unlawful.

Consumers in the EU retain rights that cannot be waived by contract.

12. Indemnity

You will indemnify Tona Digital against claims arising from your content, your invites, or your misuse of the service, except to the extent caused by our wilful misconduct.

13. Privacy

Personal data is processed as described in our Privacy Policy.

14. Termination

You may stop using the service at any time. We may suspend or terminate access for breach of these Terms or for operational/legal reasons. Provisions that by nature should survive (liability, IP, governing law) survive termination.

15. Governing law and venue

These Terms are governed by the laws of the Netherlands, without regard to conflict-of-law rules that would refer to another jurisdiction. Courts of the Netherlands have jurisdiction, without prejudice to mandatory consumer venue rights under EU law.

16. Changes to these Terms

We may update these Terms. We will update the “Last updated” date and, for material changes, provide notice via the product or e-mail where appropriate. Continued use after the effective date constitutes acceptance of the updated Terms.
